(“EZProvider”), a British Columbia company, having a place of business at #458-280 Nelson Street, Vancouver, B.C. V6B 2E2. The Customer agrees to use EZProvider’s services in accordance with the terms of this Agreement. This Agreement, together with the Term Summary Sheet, comprises the entire agreement amongst the parties.
SERVICES TO BE PROVIDED
The Customer acknowledges and agrees that the terms under this Agreement are for the services selected on the Term Summary Sheet. EZProvider is not responsible for Customer site maintenance, changes, modifications, HTML coding, scripting, or programming or any other services other than as indicated on the Term Summary Sheet.
FEES AND PAYMENT
2.1 The Customer will pay EZProvider the fees specified in the Term Summary Sheet. In addition, the Customer will pay interest to EZProvider at a rate of 2% per month on overdue accounts (effectively 26.86% annually).
2.2 All monthly fees will be paid in advance on the first day of each month. The Customer will either provide authorization for automatic bank payments or a standing credit card authorization. For fees other than monthly charges, the Customer will pay for services provided under this Agreement upon receipt of invoice to the Customer from EZProvider. When initiating the provision of EZProvider services, the Customer will be charged a base monthly access fee for EZProvider services according to the service plan selected by the Customer, as well as a pro rated partial month user fee according to the service plan selected for the number of days remaining in the calendar month from the time of initiation of service until the end of the month in which service is initiated.
2.3 All invoices will be sent by EZProvider to the Customer by email at the email address provided by the Customer to EZProvider. If payment by the Customer is by way of credit card charge, EZProvider will process the credit card charge monthly.
2.4 The pricing does not include any government sales tax, value-added tax or tax of any kind. If EZProvider has a legal obligation to collect any taxes from the Customer, then the appropriate amount will be added to any invoice and shall be paid by the Customer on the same terms as other invoices rendered pursuant to the terms herein.
2.5 If payment is not received in full within fifteen (15) days of the date of EZProvider’s invoice, in addition to charging the interest on overdue accounts, EZProvider may at its option, terminate its services to the Customer. EZProvider may lock the Customer’s account until payment of outstanding fees is brought up to date. EZProvider will not be responsible for any damages caused to the Customer or its affiliates as a result of the Customer’s account being locked, and the Customer will indemnify EZProvider for all liabilities it incurs as a result of locking the Customer’s account.
2.6 The Customer consents and authorizes EZProvider to obtain credit and bank information for purposes of assessing the Customer’s credit worthiness. The Customer will provide such further documents and assurances, and take such further action as EZProvider may reasonably require, to carry out the intent of this paragraph.
3.1 This Agreement shall commence as of the Commencement Date set out in item 4 for the term set out in item 5 of the Term Summary Sheet. If the Term Summary Sheet designates this contract as “indefinite”, either party to this Agreement may terminate this Agreement with or without cause by providing at least 14 days’ written notice to the other party. Whether the term is indefinite or for a fixed term, if the Customer is in default under this Agreement (including without limitation, non-payment), then EZProvider may immediately terminate the Agreement without prior notice to the Customer. This Agreement will automatically renew for successive one (1) month periods unless cancelled in writing prior to the monthly renewal date. If the Customer does not provide EZProvider with the required notice as provided above, and the Customer’s services are automatically renewed for the next month, the Customer will be charged for such month’s service fees on EZProvider’s next monthly invoice to the Customer, whether the Customer uses such services or not.
3.2 In addition to its other remedies, EZProvider may in its sole discretion immediately and without notice, suspend or terminate its services to the Customer if the Customer:
fails to make payment of EZProvider’s fees when due;
is in violation of the terms this Agreement;
is engaged in internet spamming or excessive resource consumption and the Customer cripples the shared hosting server which serves other customers of EZProvider; or
engages in conduct which is abusive to EZProvider’s staff.
For greater certainty, EZProvider will not be liable to the Customer for losses caused to the Customer as a result of the interruption of the Customer’s business during the period of suspension of EZProvider’s services to the Customer.
Any Customer property that is left in the care or custody of EZProvider fourteen (14) days after the termination of this Agreement may be disposed of or retained by EZProvider without any further obligation to the Customer. The Customer is fully responsible for removing its software, information and equipment following termination of this Agreement. If EZProvider stores any hardware or software on behalf of the Customer, EZProvider will be entitled to be reimbursed for reasonable storage fees prior to returning such property to the Customer.
If the Customer is using the co-location service and the Customer continues to occupy space in EZProvider’s facility, then such holding over will constitute a renewal of this Agreement on a month-to-month basis with the fees equal to 200% of the fees in effect immediately before the expiration of the term.

The Customer must provide EZProvider with 48 hours advance notice for access to its Equipment in the Customer Space in the Premises and is permitted to install or remove equipment during business days between 8:00 a.m. and 8:00 p.m. (OR with prior written approval of EZProvider, which approval will not to be unreasonably withheld). The Customer will ensure that neither the Customer nor its employees, agents, contractors or invitees damage any part of the Premises or any property located in or about the Premises, or interfere, or allow the Equipment to constitute a hazard to or to interfere with, EZProvider or any other user of the Premises or any equipment owned or used by EZProvider or any other user of the Premises. The Customer will not make any alterations or installations of any kind to the Premises without the prior written consent of EZProvider.
Immediate Threats. If, in the determination of EZProvider, acting reasonably, the Equipment poses an immediate threat to the physical integrity of the Premises or the physical integrity or performance of the equipment of EZProvider or any other user of the Premises, or poses an immediate threat to the safety of any person, then EZProvider may perform such work and take such other actions that it may consider necessary without prior notice to the Customer and without liability for damage to the equipment or for any interruption of the Customer’s (or its clients’) businesses. As soon as practicable after performing such work, EZProvider will advise the Customer in writing of the work performed or the action taken.

The access fees charged by EZProvider are set out in item E of the Term Summary Sheet. The Customer will cause its employees, agents, contractors or invitees who have access to the Premises to conform to all EZProvider’s rules and regulations (as amended by EZProvider from time to time). Failure to comply with the payment terms may result in denial of access to the Equipment and Customer Space. EZProvider shall not be required to provide Premises access to any person not approved by EZProvider. Notwithstanding the above, EZProvider shall not be liable for the consequence of admitting or refusing to admit to the Premises or Customer Space, the Customer’s agents or employees or other persons claiming the right to admission.
